YZ Terms of Use

Welcome to YZ Technologies Corporation ("YZ Technologies," "we," "us," or "our"). The following Terms of Use ("Terms") apply to all users of our website located at www.yztechnologies.ca (the "Website") and our platform and services (collectively, the "Services").

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPT, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE OUR SERVICES.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Our Services

YZ Technologies provides an AI-powered supply chain optimization platform. Subject to your compliance with these Terms, we will make the Services available to you and your authorized users during the term of your subscription.

1.1 Service Description

Our Services may include:

Real-time monitoring and analytics dashboards
Optimization recommendations and insights
Integration with third-party systems (WMS, ERP, and other platforms)
Reporting and alerting capabilities
API access for custom integrations

The specific features available to you depend on your subscription plan and service agreement.

1.2 Modifications to Services

We may modify, update, or enhance the Services from time to time. We will make reasonable efforts to notify you of significant changes that may affect your use of the Services.

2. User Accounts

2.1 Account Creation

To access the Services, you must create an account and provide accurate and complete information. You are responsible for maintaining the accuracy of your account information.

2.2 Account Security

You are responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Ensuring only authorized users access the Services through your account
Notifying us promptly of any unauthorized access or security concerns

2.3 User Responsibility

If you provide access to authorized users (such as employees or contractors), you are responsible for ensuring their compliance with these Terms. You will not share account credentials or allow unauthorized persons to access the Services.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

3.1 You agree NOT to:

Use the Services in violation of any applicable laws or regulations
Attempt to gain unauthorized access to any part of the Services or related systems
Interfere with or disrupt the security, integrity, or performance of the Services
Reverse engineer, decompile, or disassemble any aspect of the Services
Use the Services to transmit malicious code, viruses, or harmful content
Copy, modify, or create derivative works based on the Services
Resell, sublicense, or redistribute the Services without our written authorization
Use the Services to build a similar or competitive product
Access the Services for benchmarking or competitive analysis purposes without our consent
Remove or obscure any proprietary notices, labels, or branding on the Services

3.2 Permitted Use

You may access and use the Services solely for your internal business purposes as permitted under your subscription plan.

4. Ownership and Intellectual Property

4.1 Our Ownership

YZ Technologies retains all rights, title, and interest in and to the Services, including all software, algorithms, interfaces, content, trademarks, logos, and documentation. These Terms do not grant you any ownership rights to our intellectual property.

4.2 Your Data

You retain all ownership rights to the data you provide to the Services ("Your Data"). By using the Services, you grant us a limited license to use Your Data solely to:

Provide and operate the Services for you
Improve and enhance the Services
Generate anonymized, aggregated insights that are not identified as relating to you or your company

4.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Services, we may use this feedback to improve our Services without any obligation to you.

5. Third-Party Integrations

The Services may integrate with third-party systems and platforms (such as WMS or ERP systems). Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or functionality of third-party services.

6. Fees and Payment

6.1 Subscription Fees

Fees for the Services are as specified in your service agreement or order form. All fees are in Canadian dollars unless otherwise stated.

6.2 Payment

You agree to pay all fees in accordance with your service agreement. We reserve the right to suspend access to the Services for non-payment.

6.3 Taxes

Fees do not include applicable taxes. You are responsible for all taxes associated with your use of the Services, excluding taxes on our income.

7. Service Availability

7.1 Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. We may temporarily suspend access to the Services for:

Scheduled maintenance (with reasonable advance notice when possible)
Emergency security updates
Circumstances beyond our reasonable control

7.2 Support

Support is provided according to your subscription plan. Details about support availability are specified in your service agreement.

8. Term and Termination

8.1 Term

These Terms remain in effect for as long as you use the Services or until terminated in accordance with this section.

8.2 Termination

Either party may terminate the service relationship as specified in the applicable service agreement. We may suspend or terminate your access immediately if you violate these Terms.

8.3 Effect of Termination

Upon termination:

Your access to the Services will cease
You may request an export of Your Data within 30 days of termination
Provisions that by their nature should survive termination will remain in effect (including ownership, limitation of liability, and general provisions

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Services will meet all of your specific requirements
The Services will be uninterrupted, error-free, or completely secure
Any recommendations or insights will achieve particular results
Defects will be corrected

You acknowledge that you are using the Services at your own discretion and risk. The recommendations provided by the Services are intended to support, not replace, your own business judgment.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YZ TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO YZ TECHNOLOGIES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the form of action, whether in contract, tort, or otherwise.

11. Indemnification

You agree to indemnify and hold harmless YZ Technologies and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
Your Data or how you use it

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our Website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

If you do not agree to the updated Terms, you should stop using the Services.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising under these Terms will be resolved in the courts located in Vancouver, British Columbia, Canada, and you consent to the jurisdiction of such courts.

14.3 Entire Agreement

These Terms, together with the Privacy Policy and any service agreements, constitute the entire agreement between you and YZ Technologies regarding the Services.

14.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.5 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.6 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.7 Independent Contractors

Our relationship is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship between us.
